Media Specific Guidelines

Overview

When conducting business, SALT WAVE CLUB MEMBER have a wonderful opportunity to build lasting SALT WAVE  business relationships. One of the best ways to help all SALT WAVE CLUB MEMBERS succeed is to provide direction on standards that will help preserve SALT WAVEs good brand name and reputation. These guidelines also protect the privacy, confidentiality, and interests of SALT WAVE.  
The purpose of these Media Specific Guidelines is to promote integrity, and to provide business direction for SALT WAVE CLUB MEMBERS.  It is designed to foster ethical, fair and professional communication, to protect the SALT WAVE name and trademarks, and to ensure compliance with regulatory requirements wherever

SALT WAVE operates.  The following guidelines are a supplement to SALT WAVE’s Policy Manual, and apply specifically to interaction with media and doing business. These guidelines apply to CANADA SALT WAVE CLUB MEMBERS. 

Cinematic Media and Media Interviews

Any use of Allowed Content by Cinematic Media is prohibited without prior written consent from Company. SALT WAVE retains the right to approve or not approve any item in its sole discretion. 

“Cinematic Media” means any transmission of information which is conveyed by television, cable, stage, live theatrical performance, or satellite transmissions.

 

Cinematic Media will not be approved unless the following is provided to SALT WAVE :

1. A script of the Cinematic Media. 

2. If the Cinematic Media will use graphics or images, a copy of all graphics or images that will be incorporated into the media.

3. Identification, headshots, and a resume of all actors or presenters that will be depicted in the media.

4. A description of how Allowed Content will be used in the media.

5. A description of how, where, and when the proposed media will be used.

6. A description of the quantities of the media that will be manufactured and offered for sale or gratuity.

7. A signed royalty agreement signed by the applicant.   (The royalty agreement will be provided by SALT WAVE after initial approval of the design or prototype).

Apparel

T-shirts, hats, and other apparel, which bear Allowed Content, including SALT EWAVE trademarks, trade dress, or images, must be approved by SALT WAVE before being manufactured, sold, or given away.  SALT WAVE retains the right to approve or not approve any item in its sole discretion.  

Apparel will not be approved unless the following is provided to SALT WAVE:

1. A designed image, or prototype of the proposed item.  Greater detail is appreciated.  Please include a description of the materials that will be used to create the apparel.  Apparel will not be approved that does not match SALT WAVE trade dress.

2. A description of how, and where the proposed item will be manufactured, sold, or given away.

3. A description of the quantities that will be manufactured and offered for sale or gratuity.

4. A signed royalty agreement signed by the applicant.   (The royalty agreement will be provided by SALT WAVE after initial approval of the design or prototype). 

Merchandise

Merchandise must be approved by SALT WAVE before being manufactured, sold, or given away.  Merchandise is any item that bears SALT WAVE Intellectual Property that is not Apparel, Cinematic Media, Company Approved Sales Aids, Company Produced Sales Aids, or Computer and Telephone Based Media. SALT WAVE retains the right to approve or not approve any item in its sole discretion.  

Merchandise will not be approved unless the following is provided to SALT WAVE:

1. A designed image, or prototype of the proposed item.  Greater detail is appreciated.  Please include a description of the materials that will be used to create the Merchandise.  Merchandise will not be approved that does not match SALT WAVE trade dress.

2. A description of how, and where the proposed item will be manufactured, sold, or given away.

3. A description of the quantities that will be manufactured and offered for sale or gratuity.

4. A signed royalty agreement signed by the applicant.   (The royalty agreement will be provided by SALT WAVE after initial approval of the design or prototype). 

Buildings and Signs

Before using Allowed Content on a building or on signage, including the use of any SALT WAVE trademarks or trade dress, a SALT WAVE CLUB MEMBER must first attain consent of SALT WAVE. 

Use of Allowed Content in building or on signs will not be approved unless the following is provided to

SALT WAVE:

1. A description of the proposed site including the name of the city, and state.

2. A floor plan of any proposed building or store.

3. A description of the other businesses or signage that are located near the proposed site.

4. A copy of the lease, or proof of ownership of the building or store.

5. Evidence that the proposed use of the site is consistent with local zoning laws.

6. A design, or prototype of each item that will display Allowed Content at the site or sign.  

7. A description of the propose location of each sign within the building.  

8. A description of the materials that will be used to adorn the site or signage.  Signage will not be approved that does not match SALT WAVE trade dress.

9. A signed royalty agreement signed by the applicant.   (The royalty agreement will be provided by SALT WAVE after initial approval of the design or prototype).
